1. TERMS OF SERVICE

1. Introduction and Acceptance of Terms
Welcome to RenderForm Studio ("RenderForm," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our architectural rendering services, including our website at renderform.co and renderform.studio (collectively, the "Website"), and all related services (collectively, the "Services").
By accessing our Website, submitting a project inquiry, placing an order, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and RenderForm Studio, an individual enterprise established under the laws of Georgia, operated by Zurabi Mushkudiani, registered at Rustaveli Street 21, Tbilisi, Georgia.
2. Description of Service
RenderForm provides professional architectural visualization and 3D rendering services (the "Services"), including but not limited to:
Exterior architectural renderings
Interior architectural renderings
3D modeling for architectural projects
Architectural animation and walkthroughs
Conceptual and photorealistic visualization
All Services are provided on a project-by-project basis, as agreed upon between RenderForm and the Client in writing (including email correspondence, order confirmations, or project proposals).
3. Eligibility
By using our Services, you represent and warrant that:
You are at least 18 years of age or the legal age of majority in your jurisdiction;
You have the legal capacity to enter into a binding contract;
If you are using our Services on behalf of a company or organization, you have the authority to bind that entity to these Terms; and
All information you provide to us is accurate, complete, and current.
4. Ordering Process and Payment Terms
4.1 Project Inquiry and Proposal
To initiate a project, the Client must submit a project brief through our Website contact form, email, or other agreed communication channel. RenderForm will review the brief and, if the project is accepted, provide a written proposal or quotation (the "Proposal") outlining:
Scope of work and deliverables
Project timeline
Pricing and payment structure
Number of revision rounds included
Any specific terms applicable to the project
4.2 Acceptance and Contract Formation
A binding contract is formed when:
The Client accepts the Proposal in writing (including email); and
RenderForm confirms the project commencement and receipt of any required deposit.
4.3 Pricing and Payment
All prices quoted are in United States Dollars (USD) unless otherwise agreed in writing. Payment terms are as follows:
Deposit: A deposit of 50% of the total project fee is required before work commences, unless otherwise agreed in writing.
Final Payment: The remaining balance is due upon completion of the Services and prior to delivery of final, high-resolution renderings, unless otherwise agreed in writing.
Additional Revisions: Any revisions beyond the agreed scope or revision rounds may incur additional fees, which will be quoted and approved by the Client before execution.
4.4 Payment Methods
We accept payments through Stripe, our third-party payment processor. By submitting payment information, you authorize us and Stripe to process your payment. Stripe's terms and privacy policy apply to payment processing.
4.5 Late Payment
If final payment is not received within 7 (seven) days of project completion notification, RenderForm reserves the right to:
Withhold delivery of final deliverables until payment is received in full;
Charge a late payment fee of 1.5% per month on outstanding amounts; and
Suspend or terminate ongoing services.
5. Delivery Timelines and Revision Policies
5.1 Delivery Timeline
RenderForm will use commercially reasonable efforts to meet the delivery timelines specified in the Proposal. However, delivery dates are estimates and not guaranteed. Delays may occur due to:
Client's delay in providing required materials, feedback, or approvals;
Complexity or changes to project scope;
Force majeure events or circumstances beyond our reasonable control.
5.2 Revision Policy
Each Proposal specifies the number of revision rounds included in the project fee.
A "revision round" consists of a single set of consolidated feedback from the Client, addressing which RenderForm will make reasonable adjustments.
Minor adjustments (color tweaks, material changes, lighting adjustments within the established scene) are typically included within revision rounds.
Major changes (camera angle changes, significant architectural modifications, additions not included in the original brief) constitute a change in scope and may incur additional fees.
The Client must provide consolidated feedback within 5 (five) business days of receiving draft renderings. Failure to respond within this period may result in project pause or timeline adjustment.
6. Intellectual Property
6.1 Ownership of Final Deliverables
Upon full and final payment of all fees due:
Client Ownership: The Client obtains full ownership of the final, approved 2D renderings and image files delivered by RenderForm, including the right to use, reproduce, distribute, and display the renderings for any purpose related to the architectural project.
Grant of Rights: RenderForm hereby assigns to the Client all intellectual property rights, including copyright, in the final delivered image files, subject to the reservations below.
6.2 RenderForm Reservations
Notwithstanding the above, RenderForm retains:
The right to use the final renderings in our portfolio, on our Website, in marketing materials, and in industry competitions, unless the Client explicitly requests confidentiality in writing and such request is agreed upon by RenderForm.
Ownership of all underlying 3D models, scenes, textures, lighting setups, and proprietary workflows used to create the renderings, unless explicitly agreed otherwise in writing.
The right to display the Client's name and project in our client list, unless otherwise agreed in writing.
6.3 Client Materials
The Client retains all rights to any materials, drawings, plans, references, or other content provided to RenderForm for the purpose of creating the renderings ("Client Materials"). RenderForm is granted a limited license to use Client Materials solely for the purpose of performing the Services.
6.4 Third-Party Assets
If the Client requests the inclusion of third-party assets (stock images, proprietary textures, copyrighted materials), the Client warrants that they have obtained all necessary licenses and permissions for such use, and shall indemnify RenderForm against any claims arising from the use of such materials.
7. Client Responsibilities
The Client agrees to:
Provide accurate, complete, and timely project briefs, including architectural drawings, plans, CAD files, material specifications, and reference images;
Ensure that all provided materials are accurate and reflect the intended design;
Respond to queries, feedback requests, and draft reviews within reasonable timeframes (generally within 5 business days);
Consolidate feedback and designate a single point of contact for communication;
Ensure that the person placing the order has full authority to do so;
Comply with all applicable laws in connection with the use of our Services and the final deliverables.
RenderForm is not responsible for inaccuracies in the final renderings that result from inaccurate, incomplete, or unclear Client Materials or briefs.
8. Cancellation and Refund Policy
8.1 Cancellation by Client
Before Work Commences: If the Client cancels before RenderForm has commenced work, a full refund of the deposit will be issued, minus any non-refundable payment processing fees.
After Work Has Commenced: If the Client cancels after work has begun but before final delivery, the deposit is non-refundable. The Client may be charged for work completed up to the cancellation date, calculated on a pro-rata basis or at RenderForm's reasonable discretion.
After Final Delivery: No refunds are available once final deliverables have been delivered and accepted.
8.2 Cancellation by RenderForm
RenderForm reserves the right to cancel a project if:
The Client fails to provide necessary materials or feedback within 30 days of request;
The Client breaches these Terms;
The project requirements fall outside our capabilities or ethical boundaries; or
Force majeure events prevent performance.
In such cases, RenderForm will refund any amounts paid for services not yet performed, minus non-refundable processing fees and any costs already incurred.
8.3 Satisfaction Guarantee
If the Client is genuinely unsatisfied with the final deliverables and RenderForm is unable to resolve the concerns within the included revision rounds, we will work in good faith to reach a fair resolution, which may include partial refund or additional revisions at our discretion. This does not apply where dissatisfaction stems from changes to the Client's original requirements or inaccurate Client Materials.
9. Confidentiality
RenderForm agrees to treat all Client Materials, project information, and business details as confidential, except where:
Disclosure is required by law;
The information is already publicly available;
Disclosure is necessary for RenderForm to perform the Services (e.g., to subcontractors bound by confidentiality obligations); or
The Client has provided written consent.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
RenderForm's total liability arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by the Client for the specific project giving rise to the liability.
RenderForm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
RenderForm is not responsible for any decisions made by the Client, their contractors, or third parties based on the renderings provided.
The limitations in this section apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive termination of these Terms.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless RenderForm Studio, its operator, and any subcontractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
The Client's breach of these Terms;
The Client's misuse of the Services or deliverables;
Any claim that Client Materials infringe the intellectual property or other rights of a third party;
The Client's violation of any applicable law.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Georgia (the country), without regard to its conflict of law provisions.
13. Dispute Resolution
13.1 Good Faith Negotiation
In the event of any dispute arising out of or in connection with these Terms or the Services, the parties agree first to attempt to resolve the dispute through good faith negotiation.
13.2 Mediation
If the dispute cannot be resolved through negotiation within 30 days, either party may request that the dispute be submitted to mediation in Tbilisi, Georgia, in accordance with the mediation rules of the Georgian Bar Association or a mutually agreed mediation center.
13.3 Litigation
If mediation does not result in a settlement within 60 days of commencement, either party may bring proceedings in the courts of Tbilisi, Georgia, which shall have exclusive jurisdiction over any such dispute, subject to any rights a consumer may have under mandatory applicable law in their jurisdiction of residence.
13.4 Consumers in the EU and Other Jurisdictions
Nothing in this section shall limit the rights of consumers under mandatory consumer protection laws in their jurisdiction of residence, including the right to bring proceedings in their home jurisdiction.
14. Force Majeure
RenderForm shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, pandemics, or internet service provider failures.
15. Third-Party Services
Our Website and Services integrate with or rely on third-party services, including but not limited to Framer (website hosting), Tally.so (contact forms), Stripe (payments), and others. Your use of these services is subject to their respective terms and privacy policies.
16. Changes to Terms
RenderForm reserves the right to modify these Terms at any time. We will notify Clients of material changes by posting the updated Terms on our Website with a revised "Last updated" date. For ongoing projects, the Terms in effect at the time of project commencement shall apply unless otherwise agreed. Continued use of our Services after changes constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with any written Proposal, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
19. Assignment
The Client may not assign or transfer these Terms or any rights or obligations hereunder without RenderForm's prior written consent. RenderForm may assign or transfer these Terms without restriction.
20. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. A failure or delay by either party in exercising any right or remedy shall not operate as a waiver thereof.
